Welcome to BitPrimax. BitPrimax is a technology platform operated by PrimaxHub Technologies LTD, a company registered with the Corporate Affairs Commission (CAC) of Nigeria. These Terms of Service ("Terms") govern your access to and use of BitPrimax's technology platform, documentation, and interface (collectively, the "Services").
Intermediary Status: BitPrimax is a technology intermediary and software provider. BitPrimax is not a broker, exchange, custodian, or investment advisor. Our Services provide access to tools for digital asset conversion and settlement facilitation through licensed third-party partners.
By accessing our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

For Merchant Platform users, you must additionally represent that you are authorized to bind the business entity on whose behalf you are registering.
3.1 Account Creation: You must create an account to use certain features of our Services. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.
3.3 KYC/AML Compliance: We may require you to complete identity verification procedures (Know Your Customer/Anti-Money Laundering) before you can access certain features or transaction limits. You agree to provide all requested documentation and information.
4.1 Technology Services: BitPrimax provides technology services that enable users to initiate digital asset conversion and settlement transactions at quoted rates. BitPrimax does not operate a marketplace, order book, or exchange. We do not match buyers and sellers; instead, we facilitate transactions through third-party liquidity providers. All transactions are final once executed and cannot be reversed.
4.2 Non-Custodial Wallet (Consumer): The Consumer Platform operates on a non-custodial basis. Users retain full control and ownership of their digital assets. BitPrimax does not hold, manage, or have access to your private keys. You are solely responsible for securing your wallet credentials and recovery phrases. Loss of your credentials results in permanent loss of access to your assets.
4.3 Fees: You agree to pay service fees as disclosed on our platform. Fees are based on the facilitation services and quoted settlement rates. We reserve the right to modify our fee structure with notice.
5.1 Payment Processing: Our Merchant Platform enables businesses to accept cryptocurrency payments from customers. We support multiple blockchain networks including BEP-20, TRC-20, and Bitcoin.
5.2 Custody Disclaimer: For merchant services, BitPrimax facilitates payment tracking and settlement through third-party custodians or payment partners and does not independently provide licensed custodial services. BitPrimax is a technology intermediary only.
5.3 API Access: We provide API access for integration. You agree to use our APIs in accordance with our documentation and not to exceed rate limits or engage in abusive behavior.
5.4 Webhooks: We may send webhook notifications to your specified endpoints. You are responsible for maintaining secure webhook endpoints and verifying webhook signatures.
5.5 Settlement: Cryptocurrency payments received through the Merchant Platform will be settled to your designated wallet addresses according to your configured settlement preferences.
5.6 Merchant Fees: You agree to pay applicable merchant transaction fees. Fee structures are based on transaction volume and may be customized for enterprise clients.

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, downloads, interfaces, code, and software, are the exclusive property of BitPrimax and are protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.
8.1 Conversion Risks: Digital asset transactions involve substantial risk. The value of digital assets can fluctuate significantly, and you may lose the total value of your assets.
8.2 Technical Risks: Our Services rely on blockchain networks and technology infrastructure that may experience downtime, delays, or disruptions. We are not responsible for losses resulting from blockchain network issues.
8.3 Regulatory Risks: Cryptocurrency regulations vary by jurisdiction and may change. You are responsible for understanding and complying with applicable regulations in your location.
8.4 Regulatory Disclaimer: BitPrimax is not a licensed financial institution, securities exchange, broker-dealer, investment adviser, or custodian. BitPrimax provides technology-enabled services for access to third-party digital asset conversion.
8.5 No Investment Advice: Any information provided through our Services is for informational purposes only and should not be construed as investment advice or a recommendation to buy or sell any digital asset. BitPrimax does not independently hold or manage user funds.
8.6 No Guarantees: The Services are provided "as-is". We make no guarantees regarding the speed of settlement or the future value of any digital asset. Quoted rates are estimates and are for informational purposes until a transaction is initiated under the specific terms of a third-party partner.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that our Services will be uninterrupted, secure, or error-free. We do not warrant the accuracy, completeness, or usefulness of any information provided through our Services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BITPRIMAX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability to you for all claims arising out of or relating to these Terms or our Services shall not exceed the greater of (a) the amount you paid us in fees during the 12 months prior to the event giving rise to liability, or (b) $100 USD.
You agree to indemnify, defend, and hold harmless BitPrimax and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your violation of any applicable laws or regulations.
We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. You may also terminate your account at any time by contacting us.
Upon termination, your right to use our Services will immediately cease. We will make reasonable efforts to return any cryptocurrencies held in your account, subject to applicable fees and compliance requirements.
13.1 Informal Resolution: Before filing a claim, you agree to contact us at support@bitprimax.com to attempt to resolve the dispute informally.
13.2 Binding Arbitration: Any dispute arising out of or relating to these Terms or our Services shall be resolved through binding arbitration, except where prohibited by law.
13.3 Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and BitPrimax individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date.
Your continued use of our Services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using our Services.
15.1 Entire Agreement: These Terms constitute the entire agreement between you and BitPrimax regarding our Services.
15.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
15.4 Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
